DEALER TERMS & CONDITIONS

Thank you for your interest in becoming a Helmet House dealer (a “Dealer”).

We reserve the right to accept or deny any Dealer Application. Helmet House offers only the finest products including SHOEI and HJC helmets, Alpinestars clothing and other gear, Tourmaster® and Cortech® apparel, luggage, boots, and gloves, NORU apparel, boots, and gloves, and Molecule cleaners (collectively, the “Helmet House Products” or the “Products”).

We provide the following services to our Dealers: 

  • National team of account managers  

  • Top rated Customer Service Department (Inside and Outside sales team) 

  • Same day shipping available from our warehouses in California and Mississippi 

  • Online B2B site with ordering and stock checking capabilities 

Our minimum Dealer requirements are:

  • A retail store, that is located in a retail commercial location, serving as your primary business in the motorcycle, watercraft, ATV/UTV or snowmobile market.

  • A well-maintained retail display area for parts and accessories. 

  • Open for business during regular retail business hours. 

  • A current resale certificate. 

  • Employment of retail store sales personnel who are adequately trained in the sale of Helmet House Products, and who have completed and, where applicable, passed all sales training courses or modules offered or required by Helmet House and/or the applicable manufacturer for the sale of the Helmet House Products offered by Dealer.

  • Except as otherwise provided for Ecommerce Dealers, an opening order minimum of at least $1,000.00 is required.

Ongoing dealer commitments - to qualify as and to continue to serve as a Helmet House dealer, you agree to: 

  • Maintain sufficient stock levels in one or more of our brands 

  • Sell Products only to retail end user customers in the U.S. for delivery in the U.S. (and not to other dealers or resellers or for customers outside the U.S.). 

  • Sell Products only through Dealer’s retail store and/or Dealer’s online website unless written permission is given by Helmet House.

  • Sell all Products in compliance with these Terms and Conditions, and, as applicable, the Helmet House Dealer Agreement and the manufacturer and other agreements set forth on the Helmet House website (e.g. RideSHOP MAX Dealer Contract), each as in effect from time to time.

  • Not create an Amazon ASIN for any Helmet House brand without prior written permission from Helmet House.

  • Insure that your sales personnel have completed all applicable training courses and modules offered by Helmet House or the applicable Product manufacturer to enable such personnel to safely fit and sell Products to customers, and indemnify, hold harmless and defend Helmet House from and against all liabilities, losses, damages, claims, action, suits, investigations or proceedings, including all related costs and expenses (including attorneys’ fees and costs), that arise in connection with any sales made by such personnel that have not completed the applicable training courses or modules.

To assist us in processing your application, the following items are required: 

  1. Completed and signed Dealer Application, the signing of which signifies your agreement to these Dealer Terms and Conditions, and, as applicable, our separate Dealer Agreement and the manufacturer and other agreements set forth on the Helmet House website, each as in effect from time to time.

  2. Completed state tax resale certificate. 

  3. A copy of your business license, if applicable. 

  4. Current photos (inside and outside) of retail location. 

Ecommerce Dealer Qualifications and Obligations 

  • Dealer must not sell or ship Helmet House products to customers outside the U.S.  

  • Dealer must maintain a secure e-commerce website dedicated solely to the approved Helmet House dealership.

  • Dealer’s URL registration must match the business name of the Dealer on file.

  • Dealer’s contact information must clearly be displayed on the website and match Helmet House’s dealership information on file.

  • Dealer must maintain a Google or similar shopper rating of over 4.0 stars.

  • Dealer must make an initial stocking commitment of at least $5,000.00.

  • Dealer must maintain a customer order fulfillment rate of over 75% directly from Dealer’s shop or warehouse – 25% allowable from Helmet House dropship. 

  • Dealer returns may be subject to restocking fees.

Amazon & 3rd Party Website Channel Qualifications 

Dealer may not sell Helmet House Products through Amazon, eBay or any other 3rd party website without prior written permission from Helmet House.

Dealer must be a Helmet House RideSHOP or MotoSHOP program participant and meet the minimum requirements specified from time to time by Helmet House for the applicable program.

Unless otherwise approved in writing by Helmet House, with respect to any 3rd party site:

  • All Dealer dba names used on Amazon or other 3rd party sites must be identified to Helmet House 

  • Dealer contact information must be clearly displayed on Amazon or 3rd party site and match the Helmet House Dealership information on file 

  • Dealer must maintain Amazon seller rating over 4.0 stars 

  • Incoming Dealer stocking orders for Amazon FBA must be identified by the dealer as such 

  • All Amazon and 3rd Party orders being drop-shipped directly to customers from Helmet House must be identified as such on incoming P/O’s 

  • Dealer agrees to not create an Amazon ASIN for any Helmet House brand or product without prior written permission from Helmet House 

  • Dealer must maintain an order fulfillment rate of over 75% directly from the dealer’s shop, warehouse or Amazon FBA – 25% allowable from Helmet House dropship 

  • Returns may be subject to restocking fees 

Fixture “Loan” Programs 

If merchandise display fixtures are “loaned” to Dealer: 

  • Dealer acknowledges that all loaned fixtures are owned by and remain the property of Helmet House. 

  • Dealer agrees to use loaned fixture(s) to display only Helmet House brands. Fixtures may not be used to display any non-Helmet House brands 

  • Dealer agrees to allow local Helmet House District Managers, during their store visits, to merchandise, sign, and replenish fixtures to mutually agreed stock levels. 

  • Helmet House reserves the right to remove loaned fixtures at any time during Dealer’s regular business hours by giving Dealer reasonable prior notice.

  • If Dealer discontinues a Helmet House brand(s), Dealer can request fixtures be removed at any time at Helmet House’s expense.

Other Terms:

  • Warranty and Returns. Dealer agrees that Helmet House does not make any express or implied warranty pertaining to any Helmet House Products, except as may be otherwise provided in writing by Helmet House. EXCEPT AS SO PROVIDED, HELMET HOUSE HEREBY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PURPOSE. Notwithstanding the foregoing, Dealer shall give Helmet House prompt written notice of any warranty claim or adjustment involving any Helmet House Product, and, if a written warranty has been given by Helmet House to Dealer with respect to such Product, then such warranty claim or adjustment shall be subject to the terms and limitations of that written warranty and any limitations set forth in these Terms and Conditions that are in addition to any express warranty limitations. All returns shall be made in accordance with Helmet House’s then applicable RMA procedure.

  • Shipping Discrepancies. In the event of a shipping or invoicing discrepancy, Dealer must notify Helmet House Customer Service within five (5) business days from the delivery date. Helmet House will address the issue by shipping missing items or issuing a credit to the Dealer’s account. For incorrect or extra items, a return shipping label will be provided at no cost, or the Dealer may choose to be invoiced. Discrepancies not called out to Customer Service within five (5) business days will not receive credit.

  • Confidentiality. Dealer agrees to hold in strict confidence and not to disclose to third parties, or use for the benefit of any third party, any information not generally available to the public that relates to, arises out of, or is obtained by Dealer as a result of Dealer serving as a Helmet House Dealer, including information regarding the performance of any Helmet House Products, any financial, pricing or sales information or data related to or arising out of Dealer’s marketing or sale of Helmet House Products, any Helmet House business plans or strategies, the terms of any Helmet House Dealer programs, including the RideSHOP and MotoSHOP programs, and the terms of any agreements with Helmet House, including these Terms and Conditions and the terms of the RideSHOP MAX Dealer Contract, without the prior written consent of Helmet House, which may be withheld by Helmet House in its sole discretion.

  • Termination. Helmet House reserves the right to suspend or terminate any Dealer, with or without notice, and with our without cause, at any time or from time to time, including in the event of any breach by a Dealer of these Dealer Terms and Conditions, or where applicable, the Dealer Agreement or any applicable manufacturer or other agreement set forth on the Helmet House website, as in effect from time to time.

  • Assignment. The rights and obligations of Dealer under these Terms and Condition may not be assigned without the prior written consent of Helmet House.

  • Amendment and Waiver. No provision of these Terms and Conditions may be amended except by written agreement of Dealer and Helmet House. No waiver of any provision shall be valid except by an instrument in writing expressly waiving such provision and signed by a duly authorized officer of the waiving Party.

  • Governing Law. These Terms and Conditions are governed by the laws of the State of California without regard to the conflicts of laws provisions thereof.

  • Entire Agreement. These Terms and Conditions, together with the Dealer Application, and, where applicable, the Dealer Agreement and the manufacturer and other agreements expressly referred to herein, constitute the entire agreement of the Parties, and supersede all previous written and oral agreements and communications relating to the same subject matter.
